Both parties acknowledge that during an engagement, they may disclose confidential information to one another. Confidential information includes business plans, technical specifications, financial data, client lists, trade secrets, proprietary software, and any information marked confidential or reasonably understood to be confidential. Each party agrees to maintain confidentiality for three years following disclosure, use such information solely for performing services under the applicable agreement, restrict access to personnel with a legitimate need to know, and return or destroy all confidential material upon termination of the engagement. These obligations do not apply to information that is publicly known, independently developed, or rightfully obtained from a third party.

If unsuccessful, the parties agree to mediate in Salt Lake County, Utah, before a mutually acceptable mediator. The mediator has no authority to impose a binding resolution. If mediation does not resolve the dispute within sixty days, either party may pursue resolution through courts. By using this website, you consent to the exclusive jurisdiction of the courts of Utah, United States. You waive any right to a jury trial and agree to resolve disputes on an individual basis, waiving class action participation.

14. Governing Law

These Terms shall be governed by the laws of the State of Utah and applicable United States federal law, without regard to conflict of law principles. Any legal action shall be brought exclusively in the courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of such courts.

15. Force Majeure

Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including acts of God, severe weather, earthquakes, floods, fires, pandemics, acts of terrorism, war, civil unrest, strikes, government actions, disruptions in internet connectivity, power outages, or failures of third-party services. The affected party shall provide prompt notice and use reasonable efforts to mitigate impact. If the force majeure event continues for more than thirty consecutive days, either party may terminate the affected engagement without additional liability except for fees due for services already performed.

16. Entire Agreement

These Terms of Service, together with any applicable Statement of Work or service agreement, constitute the entire agreement between you and MYTHICAL STEEDS LLC regarding your use of the website and supersede all prior agreements, understandings, and communications.

17. Modifications

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use after modifications take effect constitutes acceptance of the revised terms.

18. Waiver and Severability
